Terms and Conditions of Sale

Scope and Application: These Terms and Conditions of Sale (“Terms”) govern all sales of Mosaic Manufacturing Ltd. (“Mosaic”) products and services, including hardware (such as Array™, Element™ devices), software (such as Canvas™ platform licenses or subscriptions), service plans, accessories, and materials, whether sold directly by Mosaic or through an authorized reseller or distributor. By placing an order or accepting delivery of Mosaic products or services, the purchaser (“Customer”) agrees to these Terms, which shall apply in addition to any specific terms in Mosaic’s quotes, invoices, purchase orders, or order confirmations. In the event of any conflict, these Terms prevail unless a separate written agreement is signed by Mosaic’s authorized representative. These Terms are suitable for inclusion with all order documentation (quotes, POs, invoices, order confirmations) to ensure a consistent understanding between Mosaic and the Customer.
Orders and Acceptance
- Order Placement: Orders may be placed directly with Mosaic or via authorized resellers. All orders are subject to Mosaic’s acceptance. Mosaic reserves the right to accept or reject any order at its discretion (for example, based on availability, pricing errors, or compliance with these Terms). An order is considered accepted when Mosaic issues a written order confirmation or ships the product.
- Cancellation Policy: Once an order is accepted by Mosaic, the Customer may request cancellation or modification within 3 business days of order submission or prior to shipment scheduling, whichever occurs first
- After this window, orders are non-cancellable and non-refundable except as expressly provided in these Terms or required by law. Mosaic may, at its discretion, allow a later cancellation or change, but this may be subject to restocking fees or other charges.
- Customer Purchase Terms: Any additional or different terms proposed by Customer (e.g., in a purchase order or via a reseller) that conflict with or add to these Terms are rejected and shall not apply without Mosaic’s explicit written consent
- These Terms (together with any Mosaic-issued order documents and applicable Product Warranty and Return Policy) constitute the entire agreement for the sale of the products and supersede any prior communications.
Pricing and Payment Terms
- Prices: Prices for products and services are as quoted by Mosaic or its authorized resellers in writing. Unless otherwise stated, prices are in U.S. dollars (USD) and exclusive of taxes, duties, shipping, and insurance. Any sales, use, goods and services (GST/HST), value-added (VAT) or similar taxes, import duties, or fees applicable to the order will be added to the invoice and are the responsibility of Customer.
- If Customer claims a tax exemption, valid exemption documentation must be provided.
- Payment Due: Customer shall pay all invoices in full by the payment due date specified on the invoice or as otherwise agreed in writing. Invoices are typically due upon receipt or within the credit period stated (e.g., Net 30 days) if Mosaic has approved credit terms for the Customer.Mosaic may, at its discretion, require full or partial payment in advance for large, international, or other orders. All payments shall be made in the currency and method specified on the invoice (e.g., wire transfer, credit card, etc.). No set-off or withholding is permitted – Customer may not deduct any amounts for alleged counterclaims or returns from payments due.
- Late Payments: If Customer fails to pay any amount when due, Mosaic reserves the right to charge interest on the overdue amount at the rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower.
- In addition, Mosaic may suspend performance (including halting production or shipments on any current order, and disabling access to Canvas Software Platform) until all past due amounts and applicable interest are paid. Customer shall be liable for Mosaic’s costs of collection of overdue amounts, including reasonable attorneys’ fees, to the extent permitted by law.
- Credit Terms: Mosaic’s acceptance of any order on credit is conditional on Customer’s ongoing creditworthiness. Mosaic may modify or withdraw credit terms at any time, in which case Mosaic will notify Customer and may require alternative payment arrangements. If Customer’s financial condition is unsatisfactory to Mosaic, Mosaic may demand immediate payment of all outstanding invoices or other assurances of performance (such as a letter of credit).
- Invoice Discrepancies: Customer must notify Mosaic in writing of any dispute with an invoice (such as suspected errors or discrepancies) within 10 business days of the invoice date. The parties will work in good faith to resolve invoice disputes promptly. Undisputed amounts shall be paid by the due date.
Delivery, Shipping, and Risk of Loss
- Delivery Terms: Unless otherwise agreed in a signed writing, all shipments of hardware, materials, or physical goods are made Delivered at Place (DAP) – [Customer’s Shipping Address or Named Destination] (Incoterms® 2020), duties unpaid..
- This means Mosaic will package the products and make them available for pick-up at Mosaic’s warehouse or designated facility. Customer is responsible for arranging shipment (or accepting Mosaic’s arrangement of shipment) and all related costs. Shipping charges (if Mosaic pre-pays them on Customer’s behalf) will be added to Customer’s invoice
- Mosaic will use commercially reasonable efforts to meet any quoted delivery or shipment dates, but all delivery dates are estimates and not guaranteed.
- Risk of Loss: Title and risk of loss to physical products (hardware, accessories, and materials) pass to Customer upon Mosaic’s delivery of the products to the carrier for shipment, even if Mosaic arranges or pays for shipping.
- Thereafter, Customer bears all risk of loss or damage in transit. Customer is responsible for any shipping insurance; Mosaic is not liable for delays or damage caused by the carrier. Customer should promptly inspect deliveries and notify Mosaic of any visible shipping damage or shortages within 10 days of receipt
- Title Transfer: Notwithstanding the foregoing, Mosaic retains a security interest in and title to the sold products until full payment of the purchase price and any applicable charges is received.
- If allowed under applicable law, Mosaic’s retention of title means that if Customer fails to pay, Mosaic can reclaim the products. Once full payment is made, title passes to Customer retroactively to the time of delivery. No title to any Mosaic software (including Canvas or embedded device firmware) is transferred; rather, software is licensed under the accompanying license terms (see Software License and Canvas Platform Agreement).
- Shipping Method & Charges: Mosaic (or the authorized reseller) will arrange shipping via a common carrier unless Customer specifies otherwise. Shipping and handling fees will be added to the order. Special shipping requirements (e.g., expedited delivery, insurance, temperature-controlled shipping for certain materials) must be agreed in advance and may incur additional charges. Mosaic will not accommodate “collect” shipping on Customer’s account unless explicitly agreed; any such terms in a Customer PO are deemed void.
- Customs and Export: For international shipments, Customer is responsible for import clearance, customs brokerage, and compliance with all import laws. Customer will pay all applicable import duties, tariffs, and fees. Mosaic will provide necessary export documentation but is not liable for delays due to customs. Customer represents it is not purchasing Mosaic products for export or re-export to embargoed or restricted countries or to persons prohibited under export control laws.
- Partial Shipments: Mosaic reserves the right to make partial shipments on an order (for example, shipping hardware immediately but delaying out-of-stock accessories). Any delay or default in delivering any installment does not relieve Customer of its obligation to accept and pay for remaining deliveries.
Software License and Canvas Platform Agreement
- Software Products: Any Mosaic software, including the Canvas™ software platform, desktop applications, printer firmware, or other software provided (“Software”), is licensed, not sold, to Customer. Customer’s use of the Software is governed by the End User License Agreement (EULA) or terms of service provided with the Software. In the absence of a separate EULA, Mosaic grants Customer a non-exclusive, non-transferable, limited license to install and use the Software solely in conjunction with Mosaic hardware or services, and in accordance with the product documentation.
- License Restrictions: Customer shall not copy, modify, reverse-engineer, or distribute the Software except as permitted by law or the applicable license. Software may not be separated from the hardware or used on other non-Mosaic devices except as authorized. Any third-party software components (open source libraries, etc.) included with Mosaic Software are licensed under their own terms; Customer agrees to comply with those terms.
- Updates: Mosaic may release updates or patches for Software. Some devices may automatically download and install firmware updates when connected to the internet. By using the products, Customer consents to receive such updates. Software updates may be required for optimal performance and security. Mosaic’s support for older versions may be limited.
- Data and Connectivity: Use of the Canvas platform or connected services may require registration of a user account and internet connectivity. Customer is responsible for maintaining the confidentiality of account credentials. Mosaic’s Privacy Policy governs how Mosaic collects and uses data (including any data uploaded to Canvas or telemetry from hardware). Mosaic will maintain customer information in accordance with that Privacy Policy and applicable data protection laws.
Technical Support and Service Plans
- Standard Support: Mosaic provides basic technical support for its products to direct Customers and authorized resellers. All Mosaic hardware products include one year of basic warranty support, which typically includes email, phone or online support to assist with setup, troubleshooting, and warranty service
- Mosaic aims to respond to support queries in a timely manner (generally within 1-2 business days). Support can be accessed via Mosaic’s support portal or email (support@mosaicmfg.com).
- Extended Support Plans: Mosaic may offer optional service plans or extended warranty programs (e.g., multi-year support contracts, on-site service, or advanced replacement programs). Details of such plans, if purchased, are provided in separate documentation. For example, a premium support plan might include priority phone support, faster turnaround on repairs, or extended warranty coverage. If Customer has purchased a service plan, the specific terms of that plan will supplement these Terms.
- Sample Parts and Demonstrations: From time to time, Mosaic may provide sample 3D-printed parts or demonstration units to customers (for example, to showcase product capabilities). Such sample parts are provided “AS IS” for evaluation only – Mosaic makes no guarantee that any particular sample’s quality or characteristics will be replicated in Customer’s own use of the products beyond what is promised under Mosaic’s standard limited warranty. Actual results will depend on factors beyond Mosaic’s control (such as Customer’s print settings, model design, and operating environment). Sample parts and demo units are not for resale and may not be covered by normal warranty policies.
- Third-Party Services: If Mosaic’s products are used in conjunction with third-party services or tools (for example, third-party slicing software, cloud storage integrated with Canvas, etc.), Mosaic is not responsible for those third-party services. Use of any third-party tool is at Customer’s discretion and risk and damage to Mosaic Systems as a result of third-party services or products is Customer’s responsibility.
Returns and Refunds
For detailed policies by product category, please refer to Mosaic’s Return & Refund Policy which is incorporated herein by reference. The following is a summary of key return terms:
- Returns of New Hardware: Mosaic offers a 14-day return period for most new hardware products (such as Array equipment or Element printers) purchased directly from Mosaic, provided the item is in new or lightly used condition, with all original parts and packaging. The 14 day period begins when the product arrives at Customer’s location.
- Any hardware returns (Element, Element HT, Array, Array HT, etc) will be subject to a 25% re-stocking fee.
- Mosaic will not accept a hardware return after the 14 day period is complete. Any defective items or parts will be replaced to ensure Customer has access to a functioning product.
- To initiate a return, Customer must contact Mosaic within 14 days of delivery. In the case of a printer returned hardware should be packaged securely in its original box (including all accessories). In the case of an Array, customer is responsible for the cost of a site visit by Mosaic technicians to disassemble, and package the Array. Mosaic will inspect the returned item and, if it meets return conditions, issue a refund of the purchase price minus any applicable restocking and additional fees.
- Exclusions from Return: Certain items are non-returnable once delivered, except in case of defect or warranty claim. These include: (a) software or digital licenses once activated or downloaded (due to the nature of digital goods), (b) consumable materials (filament spools, resins, etc.) that have been opened or used, (c) custom or made-to-order items, and (d) products designated as final sale or beta units. For example, Mosaic may designate specific industrial hardware or clearance items as “all sales final”, in which case no return will be accepted absent a warranty defect
- Return Procedure: To return a product, Customer must obtain a Return Merchandise Authorization (RMA) number from Mosaic’s support team and follow the provided instructions for shipping. Customers are responsible for properly packaging returned items to prevent damage in transit. If the returned product is Array, Customer is responsible for Mosaic’s cost to send a deployment team for packing and return shipping.
- Mosaic will provide guidance on freight or may arrange pickup for large equipment. For returns due to Mosaic’s warranty service (e.g. defective product), within regions where Mosaic operates, Mosaic will cover shipping costs
- For voluntary returns or returns outside supported regions, Customer is responsible for shipping costs and any import/export fees.
- It is recommended to use a trackable and insured shipping method, as Customer is liable for any damage or loss in transit on their return.
- Refunds: Refunds for approved returns will be processed after Mosaic receives and inspects the returned product. Credits are typically issued to the original payment method. Please allow a reasonable time for processing. If the original payment was via credit card or international bank, note that currency exchange rates or bank fees (if any) are beyond Mosaic’s control and will not be adjusted by Mosaic. Mosaic will notify Customer if any return is rejected (for example, if the item is damaged beyond what is covered or missing components).
- Regional Variations: Mosaic’s return policy is intended to comply with local consumer protection laws. For instance, in some jurisdictions (such as the EU or UK), consumers have a statutory right to cancel certain online purchases within 14 days of delivery for a full refund (subject to exceptions for software, etc.). Mosaic will honor any such mandatory “cooling-off” period rights for eligible customers, even if the standard return window or restocking fees stated above differ.
- In regions like Ontario, Canada, where specific consumer rights apply, Mosaic’s policy will be interpreted to provide at least the minimum returns or cancellation rights required by law.
Warranty and Disclaimers
Sales made under these Terms are accompanied by Mosaic’s standard Limited Warranty, which is provided separately for each product line (see “Warranty Documents” in Mosaic’s documentation). The basics are summarized below:
- Limited Warranty Coverage: Mosaic warrants that the Mosaic-branded hardware products (e.g., Array, Element, and other devices) will be free from defects in materials and workmanship under normal use for a period of one (1) year from the date of delivery (or the period otherwise specified in the applicable product warranty)
- During this warranty period, if a covered defect arises and is reported to Mosaic, Mosaic will, at its option: (a) repair the product, (b) provide replacement parts or units to remedy the issue, or (c) if a repair or replacement is not feasible, refund the purchase price. Mosaic will provide parts and instructions for self-repair or a replacement unit as needed.
- Software is generally provided “as is” – Mosaic will, however, use reasonable efforts to ensure subscription services (like Canvas) substantially conform to documentation and will correct or patch confirmed material defects in the software within a reasonable time. Materials and consumables are warranted to meet Mosaic’s specifications at the time of delivery; if a material (filament, resin, etc.) is unusable due to a manufacturing defect, Mosaic will replace it if notified promptly.
- Warranty Claims: Customers must follow Mosaic’s Warranty Claim Process to obtain service. This typically involves contacting support, providing proof of purchase (since warranty is only for original purchasers and not transferable), and cooperating with Mosaic’s troubleshooting steps (which may include running diagnostics or sending photos of the issue).
- Mosaic may require return of the defective part or product for inspection. For valid warranty claims within the warranty period, Mosaic will bear the cost of repair/replacement and associated shipping within the regions it serves.
- If a replacement product is provided, it may be new or refurbished and will be covered for the remainder of the original warranty or 90 days, whichever is longer. Mosaic endeavors to minimize downtime (for instance, by providing advance replacement in some cases, or rapid parts dispatch).
- Exclusions and Conditions: The Limited Warranty does not cover: (a) normal wear and tear or consumable parts (belts, nozzles, etc. expected to degrade over time, unless failure is due to a defect); (b) cosmetic damage (scratches, dents that do not affect function); (c) damage caused by misuse, abuse, or improper operation of the product (e.g., using the device outside specified environmental conditions, physical abuse, inappropriate modifications or attempts to repair not authorized by Mosaic); (d) use of non-Mosaic branded or unsuitable materials that cause damage; (e) accidents or external causes like power surges or environmental disasters; or (f) products with serial numbers altered or removed. Any unauthorized modifications or servicing of hardware (beyond basic user maintenance described in the manual) void the warranty.
- Disclaimer of Other Warranties: Except for the express limited warranties stated, Mosaic products and services are provided “AS IS” without any other guarantees or conditions. To the maximum extent permitted by law, all other warranties or conditions, express or implied, are disclaimed by Mosaic, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Mosaic’s liability for warranty claims is limited to the remedies described in the Limited Warranty. Mosaic does not warrant that the operation of software or products will be uninterrupted or error-free, or that third-party peripherals (e.g., third-party filaments or accessories) will be compatible with Mosaic hardware.
- Limitation of Liability: In no event will Mosaic be liable for any indirect, special, incidental, or consequential damages arising from or related to the products or services, even if advised of the possibility of such damages.
- This includes, for example, loss of business profits, revenue, data, or downtime costs. Mosaic’s maximum aggregate liability for any claim (whether in contract, tort, or otherwise) is limited to the amount actually paid by Customer for the product or service that gave rise to the claim.
- Some jurisdictions do not allow exclusion or limitation of certain damages, so the above limitations may not apply to the extent prohibited by law.
- Mosaic does not exclude or limit liability for death or personal injury caused by Mosaic’s negligence or for any other liability that cannot be excluded by law. If Customer is using Mosaic products for personal, household consumer purposes in a jurisdiction that provides certain statutory remedies or warranties, those statutory rights are not affected by this limitation, and the limited warranty is offered in addition to those rights.
- Statutory Rights and Variations: These Terms will be enforced to the fullest extent permitted by applicable law. In the event any provision of the warranty or Terms is unlawful or unenforceable in a particular region (for example, a state/province that does not allow disclaimer of implied warranties or a limitation on remedy duration), that provision is deemed modified or omitted only to the minimum extent necessary so that it no longer violates the law, without affecting the validity of the remainder of the Terms.
- Mosaic’s warranty intends to coexist with any mandatory consumer protections. For instance, under Ontario’s Consumer Protection Act and Sale of Goods Act, certain implied conditions (like fitness and merchantable quality for consumer purchases) may apply – Mosaic’s warranty will not derogate from such implied warranties to the extent they cannot be excluded by agreement.
- Customers may have additional rights under local law, such as the right to have defective products repaired or replaced, and those rights are acknowledged.
Limitation on Use of Products
- Intended Use; Safety: Mosaic’s hardware and materials are designed for additive manufacturing (3D printing) purposes. They are intended to be used in accordance with Mosaic’s provided documentation, in appropriate operating environments (indoor use, proper ventilation for materials, etc.). Safety Warnings: Customers must follow all safety guidelines. For example, keep devices away from flammable materials, do not modify electronics, and supervise printers during operation as advised. Mosaic is not liable for any damages or injuries resulting from use of the product not in compliance with instructions or for purposes other than those intended (e.g., using printed parts in situations with critical safety requirements without proper testing).
- Regulatory Compliance: Customer is responsible for ensuring that the use of Mosaic products complies with local regulations (such as electrical codes, radio frequency regulations for devices with wireless connectivity, or material handling rules). Mosaic provides information on certifications (CSA/UL, CE, FCC, etc.) for its devices upon request. Products are not designed for use in mission-critical applications (e.g., life support or aerospace control systems) where failure could lead to severe harm, unless expressly agreed by Mosaic.
- Resale and Export: If Customer is purchasing products for resale (as an authorized reseller), Customer must ensure the end-user agrees to Mosaic’s standard Terms (including warranty and software license terms) as a condition of sale. Any resale or transfer of Mosaic products must be in new condition (for unused products) and in Mosaic’s original packaging. No resale on third-party marketplaces is permitted without Mosaic’s approval. All branding and intellectual property rights remain with Mosaic; reseller cannot rebrand products. Mosaic reserves the right to void warranty or refuse service for products obtained from unauthorized sellers or through illegal channels.
- Intellectual Property Ownership: All intellectual property embodied in Mosaic products (designs, software code, trademarks, etc.) remains the property of Mosaic or its licensors. Selling a Mosaic product does not transfer any IP rights except the limited end-use license to any software. Customer shall not remove or alter any product identifications, logos, or legal notices on the products.
- Use of Products: Customers are solely responsible for the objects they design, create, or produce using Mosaic’s products, including but not limited to 3D printers, software, and related materials. Mosaic does not review, monitor, or control the content, design, or function of any printed objects. Mosaic shall have no liability whatsoever arising from or relating to (i) the legality, safety, quality, or fitness for any particular purpose of printed objects, (ii) infringement of intellectual property or other rights, or (iii) any damages, injuries, or losses caused by printed objects. Customers agree to indemnify and hold Mosaic harmless from any claims, damages, or liabilities resulting from their use of Mosaic products to design or produce objects.
Governing Law and Dispute Resolution
- Governing Law: These Terms and any disputes arising from the sale or use of Mosaic products shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to transactions under these Terms.
- Dispute Resolution: The parties agree to attempt in good faith to resolve any dispute or claim arising out of or relating to these Terms through negotiations. If a resolution cannot be reached, and unless prohibited by applicable law, any dispute shall be finally resolved by binding arbitration. For Customers located outside Canada, the arbitration will be conducted in English under the rules of the International Chamber of Commerce (ICC) or another internationally recognized arbitral institution, at Mosaic’s preference. If Customer is in Canada or the U.S., arbitration may be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or by a similar body. The arbitration award shall be final and may be entered in any court of competent jurisdiction.
- Jurisdiction and Venue: Notwithstanding the above arbitration clause, Mosaic may seek injunctive relief or enforcement of its intellectual property rights in any court of competent jurisdiction. For any court proceedings (if the arbitration clause is not enforceable or is waived), the parties consent to the exclusive jurisdiction of the provincial and federal courts located in Toronto, Ontario, Canada. Customer waives any objection to venue or claims of forum non conveniens.
- International Enforcement: The arbitration provision is included to facilitate enforcement across borders via the New York Convention on the Recognition of Arbitral Awards. Each party shall bear its own legal fees and share the arbitration costs, unless the arbitrator awards costs to the prevailing party.
- Limitation Period: To the extent permitted by law, any claim by Customer arising under these Terms must be brought within one (1) year from the date the cause of action accrued, otherwise it is irrevocably waived. This does not apply to claims of non-payment by Customer, which Mosaic may bring at any time allowed by law.
Miscellaneous
- Independent Contractors: The relationship of Mosaic and Customer is that of independent contracting parties. These Terms do not create any agency, partnership, or joint venture. Customer has no authority to bind Mosaic in any way, and vice versa.
- Force Majeure: Mosaic is not liable for delays or failures in performance (other than payment obligations) due to causes beyond its reasonable control, such as natural disasters, acts of government, war, labor strikes, global pandemics, supply chain disruptions, or internet service failures
- If such an event occurs, Mosaic’s time for performance is extended for the duration of the event, or Mosaic may cancel an order without liability upon notice to Customer if performance is rendered impracticable.
- Notices: Official notices under these Terms should be sent by email and a hard copy by registered mail or courier to the addresses of the parties (for Mosaic, to its headquarters in Ontario, Canada, Attention: Legal Department). Email communications from Mosaic to the Customer (to the email on file with the order) are deemed written notice.
- Assignment: Customer may not assign or transfer any rights or obligations under these Terms without Mosaic’s prior written consent, except that Customer may transfer ownership of a product to a third-party end-user (with the warranty limitations as noted). Mosaic may assign these Terms or delegate its obligations to affiliates or in connection with a merger or sale of its business. These Terms are binding on permitted successors and assigns.
- Severability: If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect
- No Waiver: Mosaic’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that provision or of any other provision. A waiver is only effective if in writing and signed by Mosaic.
- Updates to Terms: Mosaic may update or modify these Terms from time to time by posting the revised Terms on its website or providing notice with sales documentation. The Last Updated date above indicates when changes were last made. Changes will not apply retroactively to orders already accepted; they will apply to new orders going forward. Customers are advised to review the Terms periodically. Continued use of Mosaic products or services after an update constitutes acceptance of the new Terms, to the extent permitted by law
- Use Restrictions and Illegal Activities: Customer shall use Mosaic products and services only in compliance with applicable laws and regulations. Customer is solely responsible for the content and legality of any items produced using Mosaic hardware, software, materials, or services. Mosaic has no obligation and assumes no liability arising from Customer’s use of the products to design, manufacture, or distribute parts, including any items that may infringe intellectual property rights, violate export control laws, or be unlawful (including, without limitation, weapons, weapon components, or regulated items). Mosaic reserves the right to immediately suspend or terminate any obligations under these Terms, and to refuse service or support, if Mosaic reasonably determines that Customer is using or intends to use Mosaic products or services in connection with illegal, unsafe, or unauthorized activities.
- No Liability for Customer-Produced Parts: Customer acknowledges that Mosaic does not control the design, application, or end-use of any parts printed or produced using Mosaic products or services. Customer bears all responsibility for ensuring suitability, safety, regulatory compliance, and performance of any such parts. To the maximum extent permitted by law, Mosaic shall have no liability for defects, failures, injuries, damages, losses, or claims arising from or related to (a) parts or products produced by Customer using Mosaic equipment or software, (b) Customer’s chosen print parameters, materials, or designs, or (c) Customer’s reliance on printed parts for functional, structural, medical, aerospace, defense, or other critical applications.
- Applicability to Part Production, Sample Parts, and Services: If Mosaic provides any part-production services, sample printed parts, prototyping assistance, or similar deliverables—whether under a separate services agreement, a quote, a statement of work, or these Terms—such services and deliverables are provided on an “AS IS” basis for evaluation only, unless expressly stated otherwise in writing. Mosaic does not warrant that sample parts or prototypes will meet Customer’s performance requirements or be suitable for end-use applications. Mosaic may elect to provide such services under these Terms by referencing them in a quote or order confirmation, and Customer agrees that these Terms shall govern all such services except to the extent a separate written agreement signed by Mosaic expressly overrides them.
